Please read these Terms of Service (the "Terms ") and our Privacy Notice ("Privacy Notice ") carefully because they govern your use of the EduCreator website located at https://www.educreator.us (the "Site "). These Terms of Service ("Agreement ") govern your browsing, viewing and other use of the Site, including workflows, cloud-based application integration and data linking technologies available at https://www.educreator.us, including any upgrades, updates, modified versions, extensions, and improvements of the foregoing (collectively, the "Service ").

IMPORTANT NOTICE REGARDING ARBITRATION FOR U.S. CUSTOMERS: WHEN YOU AGREE TO THESE TERMS YOU ARE AGREEING (WITH LIMITED EXCEPTION) TO RESOLVE ANY DISPUTE BETWEEN YOU AND EduCreator. THROUGH BINDING, INDIVIDUAL ARBITRATION RATHER THAN IN COURT. PLEASE REVIEW CAREFULLY SECTION 17 (BELOW) "DISPUTE RESOLUTION "BELOW FOR DETAILS REGARDING ARBITRATION.

  1. Agreement to Terms. By using our Services, you agree to be bound by these Terms. If you do not agree to be bound by these Terms, do not use the Services. If you are accessing and using the Services on behalf of a company (such as your employer) or other legal entity, you represent and warrant that you have the authority to bind that entity to these Terms. In that case, "you "and "your "will refer to that entity.

  2. Privacy Notice. The Company's Privacy Policy, https://www.educreator.us/privacy/ (the "Privacy Policy "), describes the collection, use and disclosure of data and information (including location and usage data) by the Company in connection with the Site. The Privacy Policy, as may be updated by the Company from time to time in accordance with its terms, is hereby incorporated into this Agreement, and you hereby agree to the collection, use and disclose practices set forth therein.

  3. Changes to these Terms or the Services. We may update the Terms from time to time in our sole discretion. If we do, we'll let you know by posting the updated Terms on the Site and/or may also send other communications. It's important that you review the Terms whenever we update them or you use the Services. If you continue to use the Services after we have posted updated Terms it means that you accept and agree to the changes. If you don't agree to be bound by the changes, you may not use the Services anymore. Because our Services are evolving over time we may change or discontinue all or any part of the Services, at any time and without notice, at our sole discretion.

  4. Who May Use the Services? You may use the Services only if you are 18 years or older and capable of forming a binding contract with EduCreator and not otherwise barred from using the Services under applicable law. For certain features of the Services you will need an account. It is important that you provide us with accurate, complete and current account information and keep this information up to date. If you don't, we might have to suspend or terminate your account. To protect your account, keep the account details and password confidential, and notify us right away of any unauthorized use. You are responsible for all activities that occur under your account.

  5. Feedback. We appreciate feedback, comments, ideas, proposals and suggestions for improvements to the Services ("Feedback "). If you choose to submit Feedback, you agree that we are free to use it without any restriction or compensation to you.

Subscriptions. The Site requires payment of a fee for use of the Services (or certain portions thereof) and you agree to pay such fees.

  1. General. When you purchase a subscription for the Services ("Subscription "), you expressly authorize us (or our third-party payment processor) to charge you for such Subscription. We may ask you to supply additional information relevant to your Subscription, including your credit card number, the expiration date of your credit card and your email and postal addresses for billing and notification (such information, "Payment Information "). You represent and warrant that you have the legal right to use all payment method(s) represented by any such Payment Information. When you initiate a Subscription, you authorize us to provide your Payment Information to third parties so we can complete the transaction related to your Subscription and to charge your payment method for the type of Subscription you have selected (plus any applicable taxes and other charges). You may need to provide additional information to verify your identity before completing your Subscription (such information is included within the definition of Payment Information). By initiating a Subscription, you agree to the pricing, payment and billing policies applicable to such fees and charges, as posted or otherwise communicated to you. All payments for Subscriptions are non-refundable and non-transferable except as expressly provided in these Terms. All fees and applicable taxes, if any, are payable in United States dollars.

  2. Subscriptions. If you purchase a Subscription, you will be charged for each document uploaded at the time the document is submitted, plus any applicable taxes, and other charges ("Pricing Fee "), at the beginning of your Subscription and each document thereafter, at the then-current Pricing Fee. BY PURCHASING A SUBSCRIPTION, YOU AUTHORIZE EduCreator TO INITIATE RECURRING NON-REFUNDABLE PAYMENTS AS SET FORTH BELOW. Any changes in your Service usage that result in any new, increase or decrease in Fees as specified in our current pricing policy available in the Service or on the Site, will be charged at the next uploaded document. EduCreator does not accept any liability for such loss. By agreeing to these Terms and electing to purchase a Subscription, you acknowledge that your Subscription requires payment for each submission and you accept responsibility for all payment obligations prior to cancellation of your Subscription by you or EduCreator Your Subscription continues until cancelled by you or we terminate your access to or use of the Services or Subscription in accordance with these Terms.

  3. Cancelling Your Subscription. YOUR PURCHASE IS FINAL AND YOU WILL NOT BE ABLE TO CANCEL THE PURCHASE AND/OR RECEIVE A REFUND OF YOUR PAYMENT FEE AT ANY TIME. But if something unexpected happens in the course of completing a transaction, we reserve the right to cancel your transaction for any reason; if we cancel your transaction we will refund any payment you have already remitted to us for such transaction. Without limiting the foregoing, you may cancel your Subscription at any time, but please note that such cancellation will be effective immediately. EXCEPT AS SET FORTH ABOVE WITH RESPECT TO YOUR INITIAL SUBSCRIPTION PURCHASE, YOU WILL NOT RECEIVE A REFUND OF ANY PORTION OF THE PAYMENT FEE PAID AT THE TIME OF CANCELLATION. To cancel, you can initiate from the Account menu or you can message us at https://www.educreator.us/contact/. You will be responsible for all Payment Fees (plus any applicable taxes and other charges) incurred for the then-current Subscription.

  4. Free Trials. We may offer to certain qualifying users paid Subscriptions on a free trial basis ("Free Trial ") for a specified period of time. If we offer you a Free Trial, the specific terms of your Free Trial will be provided at signup. Your use of the Free Trial is subject to your compliance with such specific terms. Free Trials may limit the number of processed pages, number of documents, and/or restrict the available functionality in a Subscription. Certain limitations may exist with respect to combining Free Trials with any other offers. Except as may otherwise be provided in the specific terms for the Free Trial offer, Free Trials are only available to users who have not previously held a paid Subscription. When you agree to a Free Trial, you are not obliged to purchase a Subscription. Instructions for cancelling your subscription are stated in the section above titled "Canceling Your Subscription."

Your Content.

  1. You understand that all services are provided to you through the Site on an "as-available "basis and the Company does not guarantee that the availability or operation of the Site will be uninterrupted or bug free. You agree you are responsible for all content provided by you to the Site and all activities that occur under your user account.

  2. In order to access and use all of the features of the Service, you are required to open an account ("User Account ") by registering with EduCreator When you register for your User Account you must provide true, accurate, current and complete information ("Account Information "), and you agree to update the Account Information in order to ensure that it is current. Upon proper registration and opening of a User Account, and subject to all of the terms and conditions of these Terms of Service, EduCreator hereby grants to you the personal, non-transferable right and license to use the Service, solely for your own internal business purposes, until such time as either you or EduCreator elect to terminate such right in accordance with these Terms of Service.

  3. As an express condition of being permitted to open a User Account, you represent and warrant that you (i) have the legal capacity (including, without limitation, being of sufficient age) to enter into contracts under the law of the jurisdiction in which you reside, (ii) are not on a list of persons barred you from receiving services under U.S. laws (including, without limitation, the Denied Persons List and the Entity List issued by the U.S. Department of Commerce, Bureau of Industry and Security) or other applicable jurisdiction and (iii) are not a resident of Cuba, Iran, North Korea, Sudan or Syria.

  4. Upon registration for a User Account, you will provide EduCreator with a user ID and password to access your account. You are responsible for maintaining the confidentiality of your password and for all of your activities and those of any third party that occur through your account, whether or not authorized by you. You agree to immediately notify EduCreator of any suspected or actual unauthorized use of your User Account. You agree that EduCreator will not under any circumstances be liable for any cost, loss, damages or expenses arising out of a failure by you to maintain the security of your password.

Usage Requirements, General Prohibitions, and EduCreator's Enforcement Rights. You agree that you will use the Services:

  1. Only in a lawful manner and in compliance with all applicable laws:

    • In accordance with the Terms, and any documentation, usage guidelines, parameters, and other requirements provided to you by EduCreator or its licensors, as may be modified by EduCreator or its licensors from time to time;
    • In a manner that does not infringe, misappropriate, or otherwise violate any of EduCreator, LLC's or its licensors' rights or those of any other person or entity;
    • In a manner that does not violate these Terms, any agreement between you and anyone else or our or a third party's rights; and
    • In compliance with, and you will not attempt to circumvent, any call rate limits or other restrictions that may be established by EduCreator's or its licensors from time to time.
  2. Ownership; Proprietary Rights. As between you and the Company, the Company owns all worldwide right, title and interest, including all intellectual property and other proprietary rights, in and to the Site and all usage and other data generated or collected in connection with the use thereof (the "Company Materials "). Except as expressly set forth herein, you agree not to license, distribute, copy, modify, publicly perform or display, transmit, publish, edit, adapt, create derivative works from, or otherwise make any unauthorized use of the Company Materials. You agree not to reverse engineer, decompile, disassemble or otherwise attempt to discover the source code, algorithm or programs underlying the Company Materials. The Company reserves the right to modify or discontinue the Site or any version(s) thereof at any time in its sole discretion, with or without notice.

  3. Third Party Sites. The Site may include advertisements or other links that allow you to access web sites or other online services that are owned and operated by third parties. You acknowledge and agree that the Company is not responsible and shall have no liability for the content of such third party sites and services, products or services made available through them, or your use of or interaction with them.

  4. Prohibited Uses. As a condition of your use of the Site, you will not use the Site for any purpose that is unlawful or prohibited by this Agreement. You may not use the Site in any manner that in our sole discretion could damage, disable, overburden, impair or interfere with any other party's use of it. You may not obtain or attempt to obtain any materials or information through any means not intentionally made available through the Site. You agree not to scrape or otherwise use automated means to access or gather information from the Site, and agree not to bypass any robot exclusion measures we may put into place. In addition, you agree not to use false or misleading information in connection with your user account, and acknowledge that we reserve the right to disable any user account with a profile which we believe (in our sole discretion) is false or misleading (including a profile that impersonates a third party).

  5. Additional Terms. When you use certain features or materials on the Site, or participate in a particular promotion, event or contest through the Site, such use or participation may be subject to additional terms and conditions posted on the Site. Such additional terms and conditions are hereby incorporated within this Agreement, and you agree to comply with such additional terms and conditions with respect to such use or participation.

  6. Termination. You may terminate this Agreement at any time, for any reason or for no reason, by deleting your Site account by contacting us at https://www.educreator.us/contact/. You agree that the Company, in its sole discretion and for any or no reason, may terminate this Agreement, your account or your use of the Site, at any time and without notice. The Company may also in its sole discretion and at any time discontinue providing the Site, or any part thereof, with or without notice. You agree that the Company shall not be liable to you or any third-party for any such termination. Sections 2, 4.3, 4.5, 4.7, 5, 6 and 8 through 19 (inclusive) will survive any termination of this Agreement.

  7. Disclaimers; No Warranties. THE SITE AND ANY INFORMATION OR OTHER MATERIALS MADE AVAILABLE IN CONJUNCTION WITH OR THROUGH THE Site ARE PROVIDED "AS IS "AND WITHOUT WARRANTIES OF ANY KIND EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMISSIBLE PURSUANT TO APPLICABLE LAW, THE COMPANY AND ITS LICENSORS, SERVICE PROVIDERS AND PARTNERS DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT OF PROPRIETARY RIGHTS. THE COMPANY AND ITS LICENSORS, SERVICE PROVIDERS AND PARTNERS DO NOT WARRANT THAT THE FEATURES AND FUNCTIONALITY OF THE Site WILL BE UNINTERRUPTED OR ERROR-FREE, THAT DEFECTS WILL BE CORRECTED, OR THAT THE Site OR THE SERVERS THAT MAKE AVAILABLE THE FEATURES AND FUNCTIONALITY THEREOF ARE FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS. CERTAIN STATE LAWS DO NOT ALLOW LIMITATIONS ON IMPLIED WARRANTIES. IF THESE LAWS APPLY TO YOU, SOME OR ALL OF THE FOREGOING DISCLAIMERS, EXCLUSIONS, OR LIMITATIONS MAY NOT APPLY TO YOU, AND YOU MIGHT HAVE ADDITIONAL RIGHTS.

  8. Indemnification. You agree to indemnify and hold the Company and its affiliated companies, and each of their officers, directors, employees, contractors, attorneys and agents (the "Representatives "), harmless, and at the Company's request defend the Company and its Representatives, from and against any claims, losses, damages, liabilities, costs and expenses, including reasonable attorney's fees (any of the foregoing, a "Claim "), arising out of or relating to: (i) your use or misuse of the Site, Your Content, your entry into or performance of any Transaction, your breach of this Agreement or infringement, misappropriation or violation of the intellectual property or other rights of any other person or entity, provided that the foregoing does not obligate you to the extent the Claim arises out of the Company's willful misconduct or gross negligence; (ii) your breach of any applicable law or regulation in connection with your use of the Site; and (iii) any dispute between you and any other user of the Site. The Company reserves the right, at your expense, to assume the exclusive defense and control of any matter for which you are required to indemnify us and you agree to cooperate with our defense of these claims.

  9. Limitation of Liability and Damages. UNDER NO CIRCUMSTANCES, INCLUDING, BUT NOT LIMITED TO, NEGLIGENCE, SHALL THE COMPANY OR ITS AFFILIATES, CONTRACTORS, EMPLOYEES, OFFICERS, DIRECTORS, AGENTS, OR THIRD PARTY PARTNERS, LICENSORS OR SERVICE PROVIDERS, BE LIABLE TO YOU FOR ANY SPECIAL, INDIRECT, INCIDENTAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES THAT ARISE OUT OF OR RELATE TO THE SITE, INCLUDING YOUR USE THEREOF, ANY OTHER INTERACTIONS WITH THE COMPANY, OR ANY INTERACTIONS BETWEEN YOU AND A SELLER OR BUYER (INCLUDING WITH RESPECT TO ANY ATTEMPTED, CONSUMMATED OR FAILED TRANSACTION), EVEN IF THE COMPANY OR A COMPANY REPRESENTATIVE HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. APPLICABLE LAW MAY NOT ALLOW THE LIMITATION OR EXCLUSION OF LIABILITY OR INCIDENTAL OR CONSEQUENTIAL DAMAGES, SO THE ABOVE LIMITATION OR EXCLUSION MAY NOT APPLY TO YOU, IN WHICH CASE THE COMPANY'S LIABILITY WILL BE LIMITED TO THE FULLEST EXTENT PERMITTED BY LAW. IN NO EVENT SHALL THE TOTAL LIABILITY OF COMPANY OR ITS AFFILIATES, CONTRACTORS, EMPLOYEES, OFFICERS, DIRECTORS, AGENTS, OR THIRD PARTY PARTNERS, LICENSORS OR SERVICE PROVIDERS TO YOU FOR ALL DAMAGES, LOSSES, AND CAUSES OF ACTION ARISING OUT OF OR RELATING TO THIS AGREEMENT OR YOUR USE OF THE SITE EXCEED FIFTY U.S. DOLLARS.

Dispute Resolution.

  1. Mandatory Arbitration of Disputes. We each agree that any dispute, claim or controversy arising out of or relating to these Terms or the breach, termination, enforcement, interpretation or validity thereof or the use of the Services (collectively, "Disputes ") will be resolved solely by binding, individual arbitration and not in a class, representative or consolidated action or proceeding. You and EduCreator, LLC agree that the U.S. Federal Arbitration Act governs the interpretation and enforcement of these Terms, and that you and EduCreator are each waiving the right to a trial by jury or to participate in a class action. This arbitration provision shall survive termination of these Terms.

  2. Exceptions. As limited exceptions to Section 17(a) above: (i) we both may seek to resolve a Dispute in small claims court if it qualifies; and (ii) we each retain the right to seek injunctive or other equitable relief from a court to prevent (or enjoin) the infringement or misappropriation of our intellectual property rights.

  3. Conducting Arbitration and Arbitration Rules. The arbitration will be conducted by the American Arbitration Association ("AAA ") under its Consumer Arbitration Rules (the "AAA Rules ") then in effect, except as modified by these Terms. The AAA Rules are available at https://www.adr.org or by calling 1-800-778-7879. A party who wishes to start arbitration must submit a written Demand for Arbitration to AAA and give notice to the other party as specified in the AAA Rules. The AAA provides a form Demand for Arbitration at www.adr.org. Any arbitration hearings will take place in the county (or parish) where you live, unless we both agree to a different location. The parties agree that the arbitrator shall have exclusive authority to decide all issues relating to the interpretation, applicability, enforceability and scope of this arbitration agreement.

  4. Arbitration Costs. Payment of all filing, administration and arbitrator fees will be governed by the AAA Rules, and we won't seek to recover the administration and arbitrator fees we are responsible for paying, unless the arbitrator finds your Dispute frivolous. If we prevail in arbitration we'll pay all of our attorneys' fees and costs and won't seek to recover them from you. If you prevail in arbitration you will be entitled to an award of attorneys' fees and expenses to the extent provided under applicable law.

  5. Injunctive and Declaratory Relief. Except as provided in Section 17(b) above, the arbitrator shall determine all issues of liability on the merits of any claim asserted by either party and may award declaratory or injunctive relief only in favor of the individual party seeking relief and only to the extent necessary to provide relief warranted by that party's individual claim. To the extent that you or we prevail on a claim and seek public injunctive relief (that is, injunctive relief that has the primary purpose and effect of prohibiting unlawful acts that threaten future injury to the public), the entitlement to and extent of such relief must be litigated in a civil court of competent jurisdiction and not in arbitration. The parties agree that litigation of any issues of public injunctive relief shall be stayed pending the outcome of the merits of any individual claims in arbitration.

  6. Confidentiality. All aspects of the arbitration proceeding, and any ruling, decision or award by the arbitrator, will be strictly confidential for the benefit of all parties.

  7. Class Action Waiver. YOU AND EduCreator AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING. Further, if the parties' Dispute is resolved through arbitration, the arbitrator may not consolidate another person's claims with your claims, and may not otherwise preside over any form of a representative or class proceeding. If this specific provision is found to be unenforceable, then the entirety of this Dispute Resolution section shall be null and void.

  8. Severability. With the exception of any of the provisions in Section 17(g) of these Terms ("Class Action Waiver "), if an arbitrator or court of competent jurisdiction decides that any part of these Terms is invalid or unenforceable, the other parts of these Terms will still apply.
